            Asset Based Lending

Asset based lending and receivables finance enable businesses to unlock cash that is tied up in their assets. It is a flexible and capital-efficient form of finance that has become part of the mainstream suite of banking products. Over recent years asset based lending has become an accepted financing option in syndicated, structured finance and private equity sponsored deals.

Led by Jonathan Edwards, our team of specialists provide recognised expertise across a wide range of Asset Based Lending financing structures. We advise both banks and business customers on the specialist legal issues that arise in this area. Our lawyers have influenced the drafting of Asset Based Lending (ABL) industry standard documentation.

            Recent experience includes

            • acting for the structured finance and asset based lending teams of a clearing bank in relation to the MBO of a £700 million turnover employment services group. The transaction was structurally complex, with the inclusion of second lien finance
            • acting for the ABL team of a clearing bank in relation to its £40 million receivables and inventory facilities provided to a motor factor business which is expanding through successive acquisitions
            • acting for a substantial NW based corporate with regard to its £45 million syndicated ABL facility, provided for the purpose of a cross border acquisition.
